1. Acceptance of Terms
By creating an account on this portal ("Portal") operated by Tax & Financial Firm Inc ("Firm," "we," "us"), you ("Client," "you") agree to be bound by these Terms of Use. If you do not agree, do not register or use this Portal. These Terms govern your use of the Portal only and supplement — but do not replace — any separate professional engagement letter or service agreement entered into with the Firm.
2. Description of the Portal
The Portal is a secure electronic platform that allows you to upload, store, and exchange documents with the Firm for the purpose of receiving tax preparation, bookkeeping, and related professional services. The Portal is not a general cloud-storage service and may not be used for any purpose other than the professional services provided by the Firm.
3. Client Account Responsibilities
You are responsible for maintaining the confidentiality of your login credentials. You agree to: (a) provide a valid, current email address and accurate contact information; (b) immediately notify the Firm at mail@eztaxadvisor.com if you suspect unauthorized access to your account; (c) log out after each session, particularly on shared or public devices; and (d) not share your password with any other person. You are solely responsible for all activity that occurs under your account.
4. Accuracy of Information
You represent and warrant that all documents, data, and information you submit through the Portal are accurate, complete, and belong to you or that you have lawful authority to submit on behalf of the named taxpayer(s). The Firm's professional services are dependent on the accuracy of information you provide. The Firm is not responsible for errors, penalties, or losses resulting from inaccurate, incomplete, or untimely information provided by you.
5. Electronic Communications Consent
By registering, you consent to receive electronic communications from the Firm, including but not limited to: account notifications, document request checklists, messages from your tax advisor, and status updates regarding your tax return or engagement. You may receive email notifications at the address associated with your account. You may opt out of non-essential communications by contacting mail@eztaxadvisor.com, but transactional and security notifications cannot be disabled.
6. Electronic Signature Consent
The Firm may request your electronic signature on engagement letters, tax returns, authorizations (including IRS Form 8879), and other documents through this Portal or affiliated e-signature tools. By agreeing to these Terms, you consent to the use of electronic signatures to the fullest extent permitted by the Electronic Signatures in Global and National Commerce Act (E-SIGN, 15 U.S.C. §7001 et seq.) and the Florida Electronic Signature Act (§668.50, Fla. Stat.). Electronic signatures have the same legal force and effect as handwritten signatures.
7. Confidentiality and Data Protection
The Firm treats all information you provide as confidential and subject to professional obligations under applicable law. We maintain safeguards in compliance with:
• IRS Publication 4557 (Safeguarding Taxpayer Data)
• FTC Safeguards Rule (16 CFR Part 314), as amended effective June 9, 2023
• Gramm-Leach-Bliley Act (GLBA, 15 U.S.C. §6801 et seq.)
• IRC §7216 and associated Treasury Regulations, which prohibit unauthorized disclosure or use of tax return information
Authorized staff of the Firm may access your submitted records solely for the purpose of providing the professional services you have engaged.
8. Prohibition on Disclosure — IRC §7216
Under Internal Revenue Code §7216 and 26 CFR §301.7216-1 through 301.7216-3, the Firm is prohibited from disclosing or using your tax return information for any purpose other than preparing your tax return or providing related professional services, unless you provide written consent or disclosure is required by law. The Firm will not sell, rent, or share your tax return information with any third party for marketing purposes.
9. Third-Party Disclosure
We may disclose your information only: (a) as required by applicable law, court order, or government authority; (b) to regulatory or professional oversight bodies (e.g., IRS, state taxing authorities) in the course of providing services; (c) to subcontractors or service providers bound by equivalent confidentiality obligations and used solely to assist in providing your services; or (d) with your explicit written consent.
10. Data Security and Local Storage
Your uploaded documents are stored on the Firm's secure, password-protected servers. No document content is transmitted to third-party artificial intelligence services for processing or analysis. Documents are classified using automated pattern-matching software operated entirely on the Firm's servers. While we implement reasonable security measures, no electronic transmission or storage system is 100% secure. You acknowledge this inherent risk and agree to use strong, unique passwords and to protect your login credentials.
11. Document Retention
Your documents will be retained in accordance with IRS record-keeping guidelines (generally a minimum of seven (7) years for tax records) and applicable Florida state regulations. Upon termination of services or closure of your account, you may request the return or deletion of your documents by written notice to mail@eztaxadvisor.com. The Firm reserves the right to retain copies as required by law or professional standards.
12. Acceptable Use
You agree not to: (a) upload files containing malware, viruses, or malicious code; (b) upload documents belonging to third parties without lawful authority; (c) attempt to gain unauthorized access to other accounts or the Firm's systems; (d) use the Portal for any unlawful purpose; or (e) transmit any content that is defamatory, harassing, or otherwise objectionable. Violations may result in immediate account suspension and, where applicable, referral to law enforcement.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE FIRM'S TOTAL LIABILITY TO YOU ARISING FROM OR RELATED TO YOUR USE OF THE PORTAL SHALL NOT EXCEED THE AMOUNT OF PROFESSIONAL FEES PAID BY YOU TO THE FIRM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL THE FIRM BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA OR PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION DOES NOT APPLY TO CLAIMS ARISING FROM THE FIRM'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
14. Disclaimer of Warranties
THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE FIRM DOES NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
15. Indemnification
You agree to indemnify, defend, and hold harmless the Firm and its principals, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Portal in violation of these Terms; (b) your submission of inaccurate, incomplete, or unauthorized information; or (c) your violation of any applicable law or regulation.
16. Termination
Either party may terminate your access to the Portal at any time. The Firm may suspend or terminate your account without notice if you violate these Terms or if the professional services engagement is terminated. Upon termination, your right to access the Portal ceases immediately; however, the Firm will retain your documents for the period required by law.
17. Session Security
For your protection, your session will automatically expire after 15 minutes of inactivity. You are responsible for logging out after each session, particularly on shared or public computers.
18. Changes to Terms
The Firm reserves the right to update or modify these Terms at any time. Material changes will be communicated via email or by notice upon your next login. Continued use of the Portal after notice constitutes your acceptance of the revised Terms. The most current version is always accessible within the Portal.
19. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Portal shall be subject to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida. Before initiating litigation, the parties agree to make a good-faith effort to resolve any dispute through direct negotiation.
20. Entire Agreement
These Terms, together with any separate engagement letter or professional services agreement, constitute the entire agreement between you and the Firm with respect to the Portal and supersede all prior or contemporaneous agreements relating to the same subject matter.
